Terms of Use

Effective from 27 October 2026

1. General provisions

These terms of use (the Terms) set out how the Glosa manuscript and layout proofreading system (the Service) may be used. The Service is provided by [company name], company code [company code], registered address [registered address], email [contact email] (the Provider).

The Service is intended for publishers, editorial teams, other organisations and self-employed professionals, and for the people they invite (authors, typesetters, editors). The Terms take effect when you confirm that you agree to them while registering, accepting an invitation or creating an organisation; we record when you agreed and to which version. You also agree to the Privacy Policy. If you use the Service on behalf of an organisation, you confirm that you are authorised to bind it.

  • Business customer – a legal entity, or a natural person using the Service for their business or profession (e.g. a publisher, a freelance editor).
  • Consumer – a natural person using the Service for purposes outside their business or profession (e.g. an author paying for the proofreading of their own book). Section 13 and the mandatory provisions of consumer protection law also apply to consumers – these Terms do not limit them.
  • The Service may be used from the age of 14. Paid orders may only be placed by adults or legal entities.
  • If a separate written agreement has been concluded with the Provider, its provisions prevail over these Terms.

2. Account and organisation

  • When registering you must provide accurate information and keep it up to date.
  • You are responsible for the security of your sign-in details and for all actions taken with your account. We recommend enabling two-factor authentication.
  • Notify the Provider immediately of any unauthorised use of your account.
  • The owner or an administrator of an organisation invites members, assigns roles, manages the organisation's settings and AI credits and can revoke members' access. The organisation is responsible for the actions of its members and the people it invites.
  • Notices under these Terms are sent to the account's email address and, for an organisation, to its owners.

3. Using the Service

When using the Service you undertake:

  • to upload only content you have the right to use and share with third parties (e.g. authors, typesetters);
  • not to use the Service for unlawful purposes or to infringe the rights of others;
  • not to attempt to bypass the Service's security measures, overload the system or disrupt other users;
  • not to distribute malware or other harmful content;
  • not to resell the Service or use it by automated means without the Provider's consent.

The Provider continuously improves the Service and may change its features, provided this does not materially reduce the quality of the paid Service.

4. Content and intellectual property

All rights to the manuscripts, layouts, comments and other content you upload belong to you or your organisation (or the respective rights holders). The Provider uses the content only to provide the Service and acquires no rights to it. Content is treated as confidential; only invited users have access to a project.

The user who uploaded content and their organisation are responsible for it. If a third party brings a claim against the Provider concerning content uploaded by a business customer (e.g. regarding copyright or personal data), the business customer shall compensate the Provider for the resulting damage and reasonable costs.

Where uploaded content contains personal data, the organisation is its controller and the Provider is the processor; such processing is governed by the Data Processing Agreement, which forms an integral part of these Terms.

The Glosa software, design and trademark belong to the Provider. The Provider may use the feedback and suggestions you submit free of charge to improve the Service.

5. Notices of illegal content

Report content in the Service that you consider illegal by email to [contact email], stating where it is and why you believe it is illegal. This address is also the Provider's single point of contact for authorities and users under the Digital Services Act (Regulation (EU) 2022/2065); you may write in Lithuanian or English. On receiving a substantiated notice or an order from an authority, the Provider may restrict access to the content or account concerned and informs the user who uploaded it, stating the reasons. The Provider does not review uploaded content on its own initiative.

6. Automated checks and artificial intelligence

The Service includes automated checks: typography and spelling checks, version comparison and change detection, AI proofreading and other artificial intelligence (AI) features powered by the Claude API provided by Anthropic, PBC. AI suggestions are marked as such in the Service.

  • All automated checks are assistive tools. They may not detect every error or change and may suggest incorrect corrections; they do not replace the work of a professional editor or proofreader.
  • A suggestion becomes a comment only once accepted. The user and their organisation are responsible for the final text and layout and for the decision to print or publish.
  • The Provider is not liable for errors remaining in a publication that the automated checks did not detect or suggested incorrect corrections for, or for resulting losses (e.g. reprinting, publication delays or lost revenue), save for the exceptions in Section 10.
  • An organisation administrator can turn off the AI features. How data is processed when using AI is described in the Privacy Policy.

7. AI credits, plans and payments

  • AI features (AI proofreading, consistency check, version change summary, quick AI suggestions) are paid for with the organisation's AI credits. Typography and spelling checks do not use AI credits.
  • Before an AI check is started, an approximate number of credits is shown. The estimate is reserved when the check starts, and on completion credits are charged according to the actual AI costs, which may differ slightly from the estimate. If a check is stopped or fails, only the work already done is charged.
  • Monthly plan credits are granted at the start of each calendar month; unused credits do not roll over. Additional (purchased or granted) credits are used once the plan credits run out and expire only when the Service to the organisation is terminated.
  • Plan and credit prices are set out in the price list or agreement: excluding VAT for business customers and including all taxes for consumers. For each order the Provider issues an invoice, payable within the term stated on it (14 days if none is stated). Credits are added to the organisation's balance once payment is received.
  • If an invoice is not paid on time and 14 days have passed since a reminder, the Provider may suspend paid features (AI checks, uploading new files). No data is deleted as a result – it can still be viewed and exported.
  • We give at least 30 days' notice of price changes. The price for an already paid period does not change.
  • Unused credits are non-refundable and cannot be exchanged for money, except where the Service is terminated through the Provider's fault or by its decision (Section 12), where the agreement is terminated because of disagreement with changes to the Terms (Section 14), or where mandatory law so provides (e.g. a consumer's right of withdrawal).
  • A plan includes the file storage stated in the price list (files of all versions, Word originals and files attached to comments). Once it is used up, no new files can be uploaded until space is freed or extra storage is ordered; existing files are not deleted. Extra storage is billed monthly together with the plan.

8. Trial period

The Provider may grant an organisation a free trial period with a stated amount of AI credits and duration. During the trial the Service is provided as is and may change; please report any bugs you notice and share suggestions (the “Feedback” button in the app). At least 14 days before the trial ends we will inform you of the terms for continued use. A trial does not automatically turn into a paid plan, and when it ends no data is deleted without separate notice. Once a trial has ended, new projects, invitations and AI checks are unavailable until a plan is chosen.

9. Availability and backups

We aim to keep the Service running without interruption, but we do not guarantee that it will always be available without disruption or errors. We will try to announce planned maintenance in advance. We make daily backups; if data is lost due to a failure on the Provider's side, we restore it from the latest backup. We recommend regularly exporting important data (PDF with comments, CSV, Word) and keeping your original files.

10. Limitation of liability

  • To the extent permitted by applicable law, the Provider is not liable for indirect losses, lost profits or revenue, business opportunities, reputation or data arising from the use of, or inability to use, the Service.
  • The Provider's total liability does not exceed the amount the organisation paid for the Service in the 12 months before the damage arose, or EUR 100 where the Service is used free of charge.
  • These limitations do not apply to damage caused intentionally or through gross negligence, to harm to life or health, or to the extent they would limit consumer rights that cannot be limited by law. Liability for personal data protection breaches is governed by the GDPR and the Data Processing Agreement.

11. Force majeure

Neither party is liable for failing to perform its obligations where this is caused by force majeure (Article 6.212 of the Civil Code of the Republic of Lithuania) – circumstances beyond its control that it could not reasonably foresee, such as natural disasters, acts of war, large-scale cyber attacks, power or internet outages, decisions of public authorities or failures of third-party infrastructure (servers, AI services). The affected party notifies the other party without delay.

12. Termination and suspension

  • You may stop using the Service at any time and delete your account (My account → Delete account) or your organisation. When an organisation is deleted, its projects and files are deleted as set out in the Privacy Policy. Amounts paid for the current period are not refunded, except in the cases set out in Sections 7 and 13.
  • The Provider may suspend or delete an account if the user materially breaches these Terms (e.g. uploads illegal content or threatens the security of the Service), after notifying the user and, where possible, giving them the opportunity to remedy the breach. In case of an immediate security threat, access may be suspended without delay.
  • The Provider may discontinue the Service with at least 60 days' notice. In that case the amount paid for the unused paid period and unused purchased credits is refunded.
  • If the Service is terminated other than at your initiative, you will be able to export your data for at least 30 days; only then is it deleted.

13. Consumer rights

  • A consumer who has concluded a paid agreement at a distance may withdraw from it within 14 days of its conclusion without giving any reason – an email to [contact email] is enough. The money paid is refunded within 14 days of receiving the notice.
  • If the consumer asked for the Service (e.g. purchased credits) to begin before the withdrawal period ended, on withdrawal they pay for the part of the Service provided until then, e.g. for credits already used.
  • The Provider examines and responds to a consumer's complaint within 14 days. If the dispute cannot be resolved, the consumer may apply to the State Consumer Rights Protection Authority of Lithuania (vvtat.lt) or to a court.

14. Changes to the Terms

The Provider may amend these Terms. We will notify you of material changes by email or in the Service at least 14 days in advance, and once the changes take effect you will be asked in the Service to agree to them. If you do not agree, you may terminate the agreement before they take effect – in that case the amount paid for the unused paid period and unused purchased credits is refunded. Changes required by law or that do not worsen users' position may take effect sooner.

15. Governing law and disputes

These Terms are governed by the law of the Republic of Lithuania; consumers retain the protection of the mandatory rules of the country of their habitual residence. Disputes are resolved by negotiation and, failing agreement, by the courts of the Republic of Lithuania: with business customers – according to the Provider's registered office, with consumers – according to the statutory rules on jurisdiction.

16. Miscellaneous

  • If any provision of these Terms is held invalid, the remaining provisions stay in force.
  • The Provider may transfer its rights and obligations under these Terms to its successor (e.g. in a reorganisation or sale of the business), after notifying users; users' position does not worsen as a result.
  • The Lithuanian text of the Terms prevails over translations.

17. Contact

Send questions about these Terms to [contact email].
